Terms of Service

1. Acceptance of Terms

These Terms of Service (“Terms”) are the agreement between you and BlueSeal Group Inc, which owns and operates MovingProfit (“we,” “us,” or “MovingProfit”) covering your use of the MovingProfit platform (“Service”). By creating an account or using the Service, you agree to these Terms. If you don't agree, please don't use the Service.

2. Description of Service

MovingProfit is an AI-powered platform for real-time market data, portfolio analysis, earnings tracking, screeners, and — if you choose to enable it — autonomous trading agents that submit orders through a broker you've connected. We're a software company; trade execution, custody of funds, and account servicing all happen at your broker.

The MovingProfit website and application (collectively, the “Service”) make available market data, charts, screeners, earnings information, AI-generated analysis, agent strategies, and related software (collectively, the “Content”). Some Content is supplied by third parties (each, a “Third-Party Provider”) such as brokers, market-data vendors, and AI-model providers.

3. Eligibility

The Service is available only to people who:

• Are at least 18 years old.
• Legally reside somewhere online and algorithmic trading are permitted.
• Have completed investor verification and identity authentication at their connected broker.
• Meet any regulatory requirements that apply to automated trading.
• Have the legal capacity to enter into this agreement.

We may deny service or terminate accounts that don't meet these requirements.

The Service is intended for jurisdictions in which MovingProfit operates. Nothing on the Service should be considered a solicitation to any person in any jurisdiction where such solicitation would be illegal.

4. Account Registration

To use most features you'll need an account. You agree to:

• Provide accurate, current, and complete information when you sign up.
• Keep your credentials secure — treat your MovingProfit login the way you treat your broker login.
• Update your information promptly when it changes.
• Take responsibility for everything that happens under your account.
• Tell us immediately if you suspect unauthorized access to your account.

5. Brokerage Integration

In plain terms: we connect to your broker, but we never hold your money. Your cash and securities stay at the broker. We can read your account and submit orders only because you authorized us to.

By connecting a broker (today, Alpaca Markets), you acknowledge that:

• MovingProfit is not a broker-dealer and does not custody funds or securities.
• All trades execute through your connected broker and are governed by that broker's terms.
• You are solely responsible for your trading decisions and their outcomes.
• Connecting a broker is at your own risk — you can revoke access from the account page or directly inside the broker's dashboard at any time.

6. AI-Powered Features and Autonomous Trading Agents

An autonomous trading agent is a piece of software that watches market data, evaluates a strategy you've configured (entry rules, exit rules, sizing, risk limits), and — when its conditions are met — submits real orders to your broker without asking you first. That's what you're enabling when you turn one on.

By using AI-powered analysis or autonomous trading agents, you acknowledge and agree that:

• Agents operate automatically based on the algorithms, market data, and parameters you configure.
• Agents may execute trades without manual approval for each transaction.
• You are responsible for monitoring, configuring, and managing your agents.
• AI-generated analysis and recommendations are algorithmic outputs — not financial advice.
• AI models can misinterpret market conditions or produce unexpected trading decisions.
• Past performance, backtests, and AI predictions do not guarantee future results.
• You must set appropriate risk limits, position sizes, and stop-loss parameters.
• Technical issues, data delays, or algorithm errors may impact agent performance.
• MovingProfit is not liable for losses resulting from agent actions or AI recommendations.
• You can pause or disable any agent at any time through the platform.

Important — read this twice: autonomous trading carries significant risk of loss. Backtests are not predictions. Markets change. Agents can lose money quickly. Understand the strategy you've configured, monitor it regularly, and never trade with capital you can't afford to lose.

7. Not Financial Advice

Everything on the Service — stock data, earnings reports, technical analysis, screener results, AI-generated insights, agent strategies — is for informational and educational purposes only. None of it is financial advice, investment advice, tax advice, or any other kind of advice. Consult a qualified financial advisor before making investment decisions.

8. Acceptable Use

You agree not to:

• Break the law. Don't use the Service for unlawful purposes or in violation of applicable regulations.
• Probe or attack our systems. No unauthorized access attempts, intrusion testing without permission, or disruption of the Service.
• Scrape or automate against us. Our market data licenses prohibit redistribution, and scraping overloads providers we pay per-request — it costs us real money and can break the Service for everyone.
• Resell or repackage. Don't resell, redistribute, or commercially exploit the Service or its data without written permission.
• Manipulate markets. Don't use the Service to spoof, layer, wash-trade, or otherwise distort markets — that's illegal and your broker will likely catch it before we do.
• Share your account. Don't share credentials or let anyone else trade through your account.

9. Intellectual Property

The Service — including its code, design, text, graphics, logos, and proprietary data compilations — is owned by BlueSeal Group Inc and protected by copyright, trademark, and other intellectual property laws. Market data provided through the Service is licensed from third parties and remains subject to their terms.

Company names, logos, product names, and trademarks displayed on the Service (“Marks”) belong to MovingProfit or their respective owners. You may not use any Mark without the prior written consent of its owner. The Content is provided exclusively for your personal and non-commercial use. No part of the Service or Content may be copied, republished, scraped, mirrored, redistributed, or commercially exploited without our express prior written consent.

10. Third-Party Services

The Service depends on third parties: brokers (for execution and custody), market-data providers (Polygon.io, Financial Modeling Prep, and similar), AI model providers (Anthropic, OpenAI, xAI), and cloud infrastructure. See the Privacy Policy for how data flows to and from these providers.

We are not responsible for the availability, accuracy, or actions of any third-party service. Outages, data delays, or errors on their end can affect MovingProfit. Your use of any third-party service is also governed by that provider's own terms.

11. External Links

The Service may contain links to third-party websites and resources (news articles, broker dashboards, regulatory filings, and similar). We do not control these sites, do not endorse their content, products, or services, and are not responsible for their availability. Your use of any linked site is at your own risk and is subject to that site's own terms and privacy practices.

12. Communications & Consent

By using the Service, you consent to:

• the recording and retention of any communication exchanged with MovingProfit or its representatives, including support chats and email;
• the transfer and processing of your personal data by MovingProfit and its service providers, as described in our Privacy Policy; and
• receiving service announcements, security notices, and administrative messages related to your account.

These transactional communications are part of the Service and cannot be opted out of while your account is active. Marketing communications can be opted out of at any time through your account settings or the unsubscribe link in any marketing email.

13. Data Accuracy

We work hard to display accurate and timely market data, but we don't guarantee it. Prices can be delayed, fundamentals can be misreported upstream, and bugs happen. Verify anything material independently before trading on it — especially around earnings, halts, and corporate actions.

We have no duty to update Content once published. Price quotes, charts, and market data may be delayed during outages, upstream provider issues, or routine refresh cycles; do not rely on any displayed price for time-sensitive decisions. Past performance, backtests, and historical data are not indicative of future results.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MOVINGPROFIT LLC IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

THIS INCLUDES, WITHOUT LIMITATION, LOSS OF PROFITS, TRADING LOSSES, LOSS OF DATA, OR OTHER INTANGIBLE LOSSES ARISING FROM:

• Your use of, or inability to use, the Service.
• Any trading decisions based on information from the Service.
• Unauthorized access to or alteration of your data.
• Service interruptions, delays, or errors.
• Actions or inactions of third-party service providers.

We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including without limitation acts of God, flood, fire, earthquake, severe weather, war, civil disturbance, labor disputes, government action, internet, telecommunications, power, or cloud-infrastructure failures, or third-party service outages.

IN NO EVENT WILL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM.

15. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

16. Indemnification

You agree to indemnify, defend, and hold harmless BlueSeal Group Inc and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

17. Termination

You can stop using the Service at any time and delete your account. We can suspend or terminate your access at any time, with or without cause, and with or without notice — though in practice we'll give notice unless we have a security or legal reason not to. On termination, your right to use the Service ends. Provisions that should reasonably survive termination (like Liability, Indemnification, Governing Law) will survive.

18. Modifications to Terms

We may update these Terms from time to time. For material changes, we'll post the updated Terms with a new effective date and, where appropriate, notify you in the app or by email. Continuing to use the Service after a change is posted means you accept the updated Terms.

19. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law principles. Any disputes arising under these Terms will be resolved in the state or federal courts located in Delaware.

20. Severability

If any provision of these Terms is found unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
